Form of Work This document details the collaboration agreement and good practices for creating alliances with distribution partners of the VentasXMayor software.
1. Use of the VentasXMayor Brand of Nebulosa Inc.
The use of the brand for advertising and attracting new customers must be agreed in advance between VentasXMayor and the Reseller Partner before starting any advertising campaign or commercial action. VentasXMayor reserves the right to evaluate the campaign to avoid possible misunderstandings or negative effects.
2. Customer Acquisition:
- The Reseller Partner is responsible for generating their own marketing to attract new customers. VentasXMayor offers them graphic material to carry out these actions.
- The Reseller Partner and/or its vendors must explain the use and functionality of the system to potential customers.
- The Reseller Partner will provide VentasXMayor with customer data to begin the implementation.
Once the customer data has been received, VentasXMayor will be responsible for creating the website and migrating the product data and images until the launch of the site is complete. Subsequently, the reseller partner will be given the access key to the store so that he can provide it to his customer.
VentasXMayor will provide commercial, technical and follow-up assistance to the Reseller Partner in order to facilitate the implementation and encourage the growth of the Reseller Partner.
3. Technical Support for Customers of the Reseller Partner:
VentasXMayor will provide a scalable technical support model for customers, freeing the reseller partner from the need to handle complex technical problems. However, the Reseller Partner is expected to filter out common problems before escalating to SalesXMayor technical support.
If assistance is needed, the Reseller Partner will be informed of the entire resolution process through the assigned sales representative. An artificial intelligence support system is also available within the store that customers can use autonomously.
4. Commercial Support for Customers of the Reseller Partner:
VentasXMayor provides basic commercial support to its clients so that they can initiate digital advertising campaigns and maximize the use of the data obtained from the system. This support is not provided to the Reseller Partner's customers, allowing the Reseller Partner to offer it as an additional service.
The Reseller Partner is free to offer complementary eCommerce services to their customers, such as commercial monitoring and digital marketing services, to maximize sales and the acquisition of new customers.
5. Procedure for Implementing a New Customer:
The implementation of an eCommerce requires the following customer information:
- Customer Data
- Product images
- Price lists
- Evaluation of the existence of a website and the possibility of extracting data
- Customer domain
VentasXMayor will create the store and provide access to the Reseller Partner, who will then hand over access to the customer. This approach optimizes implementation times.
If the Reseller Partner has the necessary knowledge to handle the implementation in a reasonable time (less than 30 days), they can do it directly. VentasXMayor will provide access to the basic website for the Reseller Partner to complete or work together with the assigned business advisor.
6. Data Required for Registering a New Customer
A. To register a new customer, send an email to info@ventasxmayor.com or contact the assigned executive with the following information:
- Name and Surname
- Social Reason
- Tax ID Number
- Phone/cellphone/WhatsApp
- Instagram/Facebook
- Website

C. VentasXMayor will evaluate and work on the best way to import the data and then inform the Reseller Partner. Once the new customer instance has been created, VentasXMayor will send an email to the reseller partner with the access key to the system.
7. Reseller Partner Payments to VentasXMayor for Service Instances
The Reseller Partner is responsible for charging their customers for the service on a monthly basis and making a payment to VentasXMayor for the total of their active instances, detailed in a shared monthly table. Payments must be made before the 10th of each month, with a penalty for every 10 days of delay. If payments are not made within 30 days, the corresponding instances will be suspended.
8. Exclusivity
There is no sales exclusivity with any SalesXMayor reseller Partner. The customers that each Reseller Partner obtains will be respected as long as complete information is submitted for the registration of the new instance. A customer will be considered exclusive to the Reseller Partner unless they express that they do not want to be served by the Reseller Partner.
9. General Price and Reseller Partner Commission
