Terms of Service
Last updated: September 16, 2026
These Terms of Service (the "Terms") govern access to and use of the VentasxMayor platform (VendasxAtacado in Brazil), its websites, applications, API and related services (the "Service"), provided by Nebulosa Inc., a corporation organized under the laws of the State of Nevada, United States, with offices at 848 N. Rainbow Blvd, Unit #8142, Las Vegas, NV 89107, USA ("Nebulosa", "we", "us").
By creating an account, ticking the acceptance box or using the Service, you, on your own behalf and on behalf of the company you represent (the "Customer"), agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
The Service is intended exclusively for businesses and professionals that sell wholesale (B2B). It is not intended for consumers.
1. Definitions
- Account: the Customer's workspace in the Service, including its B2B store and admin panel.
- Account Owner: the person who creates the Account or whom the Customer designates as responsible for it.
- Users: the staff, sales reps and collaborators to whom the Customer grants access to its Account.
- Buyers: the Customer's own customers who access its B2B store to browse the catalog and place orders.
- Customer Data: all information the Customer or its Buyers upload to or generate in the Service: catalog, prices, price lists, customers, orders, images, integrations and other content.
- Service Period: each monthly cycle of use of the Service.
2. Account and Users
To use the Service you must register an Account with accurate and current information: legal name, tax ID, address, phone number and a valid email address. You must be at least 18 years old and have authority to bind the company you represent.
The Account Owner is responsible for everything that happens in the Account, including the actions of its Users and of any third party it has given access to. You must keep credentials confidential and notify us immediately of any unauthorized access.
Each Account has a single Owner. We may require identity verification before accepting a change of ownership.
Account-related communications are sent to the registered email address and are deemed received when sent.
3. Acceptable use
The Customer agrees to use the Service in compliance with the law and these Terms. The following is prohibited:
- Using the Service for illegal, fraudulent or deceptive activities, or to sell products whose sale is prohibited in your country.
- Uploading content that infringes third-party rights, is defamatory, contains malware or violates data protection laws.
- Attempting to access other accounts, the Service's infrastructure or its systems without authorization, or interfering with its operation.
- Reverse engineering, copying, reselling, sublicensing or making the Service available to third parties beyond what these Terms allow.
- Using the API or automated tools in a way that overloads the Service or circumvents its technical limits.
- Sending unsolicited communications (spam) through the Service.
We may immediately suspend or limit access if we detect use that violates this section or endangers the security or integrity of the Service.
4. The Service and changes to it
The Service is offered as software as a service (SaaS): we host, maintain and update it. The available features are those described on our website and in the Help Center at any given time.
We improve the Service continuously. We may add, modify or remove features, change the infrastructure or providers we use, and release new versions without prior notice, provided this does not substantially reduce the core features contracted. If a change substantially removes a core feature, we will give at least 30 days' notice.
We work to keep the Service continuously available but do not guarantee uninterrupted availability. We may perform scheduled maintenance, which we will endeavor to announce and carry out during low-usage hours, and emergency maintenance without notice.
Initial implementation, catalog migration and initial onboarding of the Customer's team are included at no cost. Support is provided by email and WhatsApp on business days and hours in the Customer's country.
5. Prices, billing and payment
Post-paid model. The Service is billed in arrears: we first provide the Service during the Service Period and then invoice the period used. No advance payment is required to start using the Service. Initial implementation takes place before billing begins.
Prices. Current prices are those published on the pricing page of the website for your country, or those agreed in writing in a commercial proposal. Prices exclude taxes. Additional services contracted separately are quoted in writing.
Payment processing. Payments are processed through Stripe on behalf of Nebulosa Inc. The Customer receives a secure payment link or registers a payment method for recurring charges. After each approved payment, the Customer receives by email the receipt or invoice issued in the name of Nebulosa Inc., showing the company details, Customer identification, service description, period, amount, currency, date and payment reference.
International invoicing. Nebulosa Inc. is a company organized in the United States and has no local tax registration in the countries where it operates. It therefore issues international invoices rather than local tax invoices, in the same way as other software services contracted from abroad. The tax treatment of the transaction in the Customer's country, including withholdings or taxes on payments abroad, is the Customer's sole responsibility. Invoiced amounts are net: if the law of the Customer's country requires withholding, the Customer shall pay the additional amount needed for Nebulosa to receive the full price, unless otherwise agreed in writing.
Price changes. We may update prices. Any change will be notified to the registered email address at least 30 days in advance and will apply only to Service Periods after the notice, never retroactively. If the Customer disagrees, it may cancel before the new price takes effect at no cost.
Late payment. If a payment is not made within 10 days of its due date, we may, after notice, suspend access to the Account until it is settled. Amounts for Service Periods already provided remain due.
Refunds. Because the Service is billed for periods already used, invoiced amounts are non-refundable, except for a proven billing error or where mandatory law provides otherwise.
6. Customer Data
Ownership. Customer Data is and remains the property of the Customer. The Customer grants us a limited, non-exclusive, worldwide license to host, process, transmit and display Customer Data solely to the extent necessary to provide, support and improve the Service.
Responsibility. The Customer is responsible for the accuracy, legality and content of Customer Data, for having the rights and legal bases required to upload it, and for complying with applicable data protection law regarding the personal data of its Buyers and Users.
Data protection roles. With respect to the personal data of Buyers and Users that the Customer uploads to the Service, the Customer acts as controller and Nebulosa as processor, processing it on the Customer's instructions and in accordance with the Privacy Policy, which forms part of these Terms and describes security measures, sub-processors and international transfers.
Export and deletion. The Customer may export its Customer Data at any time from the admin panel or by requesting it from support. After termination of the Account, we will retain Customer Data for 30 days to allow export, and then delete or anonymize it, unless the law requires us to keep it longer or it is held in backups, which are deleted in their normal cycles.
Aggregated data. We may use aggregated and anonymized usage data that does not identify the Customer or its Buyers to operate, analyze and improve the Service.
7. Intellectual property
The Service, its software, design, trademarks, documentation and all related intellectual property rights belong to Nebulosa Inc. or its licensors. These Terms do not transfer any rights in the Service to the Customer other than the limited right of use described here.
The VentasxMayor and VendasxAtacado trademarks and logos are the property of Nebulosa Inc. The Customer may not use them without prior written authorization. We authorize the Customer to display the mention "store powered by VentasxMayor" or equivalent in its store.
If the Customer sends us suggestions or feedback about the Service, we may use them freely without any obligation to the Customer.
8. Confidentiality
Each party will treat as confidential the non-public information it receives from the other in connection with the Service, including agreed prices, commercial terms, business data and technical details, and will not disclose it to third parties other than its employees, advisors and providers who need to know it and are bound by equivalent obligations. This obligation does not apply to information that is public, already known to the receiving party or required to be disclosed by law, and survives for 3 years after termination.
9. Third-party services and integrations
The Service may integrate with third-party systems chosen by the Customer, such as its ERP, payment gateways, logistics or messaging services. Those integrations are governed by the terms of the relevant third party. We are not responsible for the operation, availability or content of third-party services, nor for changes they make to their APIs.
To operate the Service we use infrastructure and service providers, such as cloud hosting, payment processing (Stripe) and email delivery. Those involving personal data are detailed in the Privacy Policy.
10. Warranties and disclaimers
We undertake to provide the Service with professional care and in accordance with its documentation. Subject to that, and to the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement or freedom from errors. We do not warrant that the Service will be uninterrupted or error-free, nor any particular business results for the Customer.
11. Limitation of liability
To the maximum extent permitted by law, Nebulosa Inc., its officers, employees and providers shall not be liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, revenue, data or business opportunities, even if advised of their possibility.
Nebulosa's total aggregate liability to the Customer for any claim arising from these Terms or the Service shall not exceed the amount actually paid by the Customer for the Service during the 12 months preceding the event giving rise to the claim.
These limitations do not apply where applicable law does not allow them to be limited, such as willful misconduct or gross negligence.
12. Indemnity
The Customer will hold Nebulosa Inc. harmless from third-party claims, including reasonable costs and fees, arising from Customer Data, the products it sells, use of the Service in violation of these Terms or the law, or breach of its data protection obligations toward its Buyers.
13. Term, cancellation and termination
Term. The Service is provided in monthly Service Periods that renew automatically. There is no minimum term and no cancellation penalty.
Cancellation by the Customer. The Customer may cancel at any time by notifying support by email or WhatsApp. Cancellation takes effect at the end of the current Service Period and only use up to that date is invoiced.
Termination by Nebulosa. We may terminate the Service with 30 days' notice by email. We may suspend or terminate immediately, after notice, in case of material breach of these Terms, unremedied non-payment, use that endangers the security of the Service or third parties, or legal requirement.
Effects. Upon termination, the right to use the Service ends, outstanding amounts for periods already provided become due, and section 6 on data export and deletion applies. Sections 5, 6, 7, 8, 10, 11, 12, 14 and 15 survive termination.
14. Changes to these Terms
We may modify these Terms to reflect changes in the Service, the law or our practices. The current version is always the one published on this website, with its update date. If the change is material, we will notify the registered email address at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the new Terms. If the Customer disagrees, it may cancel before that date at no cost.
15. Governing law and jurisdiction
These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.
The parties will attempt in good faith to resolve any dispute through negotiation for 30 days. Failing that, the dispute shall be submitted to the state or federal courts located in Clark County, Nevada, to whose jurisdiction the parties submit, without prejudice to any mandatory rules of the Customer's country that may apply and to Nebulosa's right to seek injunctive relief in any competent jurisdiction.
16. General provisions
- Assignment. The Customer may not assign these Terms without our written consent. Nebulosa may assign them to a group company or in a merger, acquisition or sale of assets, with notice to the Customer.
- Force majeure. Neither party is liable for failures caused by events beyond its reasonable control, such as infrastructure provider outages, cyberattacks, natural disasters or acts of authority.
- Notices. Notices to Nebulosa must be sent to us@nebulosa.com. Notices to the Customer will be sent to the email address registered in the Account.
- Entire agreement. These Terms, the Privacy Policy and, where applicable, a commercial proposal accepted in writing constitute the entire agreement between the parties and supersede any prior agreement. Commercial proposals and institutional information we send are informational and do not extend our obligations beyond what is set out here unless they expressly say so.
- Severability. If any clause is held invalid, the rest remains in force.
- Waiver. Failure to exercise a right does not constitute a waiver of it.
- Languages. These Terms are published in Spanish, English and Portuguese. All versions have the same content; in case of a discrepancy in interpretation, the version in the language of the website for the Customer's country prevails.
- Relationship of the parties. The parties are independent contractors. Nothing in these Terms creates a partnership, agency or employment relationship.
